StoryBook Exit
The company you retire from is being built right now.
For owners 5–10 years from retirement. Not a six-month scramble before you call a broker: a 24–30 month operating transformation that turns your operations, financials and systems into a story a buyer can confidently acquire.
Why start early
You can't manufacture years of clean history in six months.
Serious buyers look at multi-year trends. They want consistent books, documented procedures and proof the team runs the business without you. None of that can be rushed in the months before a sale.
Starting early gives you time to fix margin leaks, build clean comparable books, and prove the business works while you step back.
No one can honestly promise you a higher multiple. What we can do is go after the things buyers use to discount your earnings and add risk.
The six pillars
What a buyer will test, and what we build.
Financial Quality
Clean books, a sensible chart of accounts, reconciled balance sheet accounts, consistent treatment year to year, and add-backs you can support.
You get: Adjusted EBITDA workpapers and a financial story that holds up.
Profit & Efficiency
Find cost leaks, duplicated work, unused software, creeping vendor prices and processes that eat time without creating value.
You get: a margin and vendor review.
Team Strength
Clear roles, backup coverage for every key job, procedures written by the people who do the work.
You get: a team capability and succession roster.
Owner Independence
Move from operator to leader. Delegate the daily escalations and approvals until the company runs without constant owner input.
You get: an owner-dependence scorecard and plan.
Company Memory
Project history, decisions, contracts, procedures and records kept in your Virtual HQ, not inside people's heads.
You get: a Virtual HQ knowledge vault.
Buyer Readiness
The financial and operating evidence advisors, lenders and buyers will ask for, organized long before they ask.
You get: a pre-indexed data room.
What the owner sees vs. what the buyer sees
Owner-dependent or transferable?
| Area | Owner-dependent | Transferable |
|---|---|---|
| Owner involvement | The owner answers every client and staff question. Approvals stall when the owner is away. | The owner leads. The company delivers without constant founder input. |
| Company knowledge | Procedures and client quirks live inside people's heads. | SOPs, project records and a company timeline live in the Virtual HQ. |
| Financial records | Books need long verbal explanations. Reconciliations are months behind. | Multi-year clean books, reconciled balance sheets, tax returns that tie to the books. |
| Profit margins | Margins swing. Pricing is ad hoc. Vendor increases go unnoticed. | Margins are watched, vendor contracts reviewed, unit economics clear. |
| Files & contracts | Contracts and agreements are scattered across email and desks. | An organized, searchable repository ready for review. |
| Team backup | Critical work depends on one or two irreplaceable people. | Clear roles, cross-training and backup for every function. |
| Due diligence | A months-long reconstruction project. | A confirmation of the story you already built. |
The 30-month roadmap
The first half improves the business. The second half proves it.
| Quarter | Work |
|---|---|
| Q1–Q2 | ABC Review baseline |
| Q3 | Financial reset: reconciliations, month-end close, KPIs, 13-week cash |
| Q4 | Virtual HQ and access control |
| Q5–Q6 | Train the GAAP, SOPs, CPA feedback loop, safe automation |
| Q7 | Reduce owner dependency and test your absence |
| Q8 | Sellability risks: customer concentration, margins, recurring revenue |
| Q9 | StoryBook Exit build: the buyer narrative and data room |
| Q10 | Readiness rehearsal: valuation, quality of earnings, advisor and broker selection |
Where I sit
Before the broker, the CPA and the M&A advisor.
The broker tells you what buyers want. The CPA fixes the tax. The M&A advisor markets the company. I come before all of them and build the evidence they'll need: clean books, documented operations and an organized data room.
“I don't want to be your broker. I want your broker to love me when you finally call them.”
Questions
Before we talk
Do I have to replace my bookkeeper or CPA?
No. StoryBook Exit works with your current bookkeeper, team and CPA. I give them structure, training and review so their work holds up for a buyer.
Can we keep using QuickBooks Online?
Yes. We clean up the chart of accounts, transaction treatment, balance sheet reconciliations and add-back schedules inside the system you already use.
I'm not sure I'll ever sell.
Good. Build every system as though the business could be sold tomorrow, even if you keep it forever. Building to sell means you can, not that you have to.
Where do I start?
